Dear Sir
EMYRIA LIMITED: GENERAL – AWARE QUERY
I refer to your aware query letter to Emyria Limited (“Emyria” or “the Company”) dated 8
March 2024. Utilising the numbering in your letter, the Company responds as follows:
1.
No
2.
Recently, Emyria has attracted increased media attention. In particular, on 7 March 2024,
the ABC ran a feature article and news story on Emyria’s innovative research programs
focused on developing potential treatments for post-traumatic stress disorder (PTSD) (the
“Coverage”). The Coverage highlighted Emyria's unique status as one of the few
organisations in Australia approved by the Therapeutic Goods Administration (TGA) to use
MDMA for therapeutic purposes, information previously disclosed to the ASX.
Emyria believes the attention garnered by the Coverage was responsible for the price and
volume increase. Emyria does not believe that the Reach Wellness Collaboration was
responsible for the price and volume increase.
Further explanation as to why Emyria believes the Reach Wellness Collaboration is not
material, is set out in Emyria’s response to question 7 below.
3.
Emyria first made contact with Reach Wellness in October 2023. On 30 January 2024, the
parties first discussed a high level, indicative non-binding collaboration where Reach
Wellness would look to raise funds to be applied to research concerning the use of MDMA
in the treatment of first responders.
From 30 January 2024, to 6 March 2024, Emyria and Reach Wellness progressed a nonbinding memorandum of understanding with Reach Wellness which has not yet been
finalised, with high level indicative terms, whereby should Reach Wellness be able to raise
sufficient funds, it would fund a study proposed to be managed by Emyria for an initial
cohort of up to 50 suitably qualified first responders utilising Emyria’s MDMA-assisted
therapy. Reach Wellness has initiated a fundraising campaign to cover all treatment and
study related costs for an initial cohort of 50 first responders at an estimated cost of
$30,000 each.
4.
Not applicable.
5.
The Managing Director authorised the release of the information regarding the Reach
Wellness Collaboration.
6.
Emyria takes its corporate governance very seriously and has a Continuous Disclosure Policy
that complies with the ASX’s fourth edition of the Corporate Governance Principles and
Recommendations. The policy is available at https://emyria.com/about/corporategovernance/ and was most recently updated on 26 September 2023.
7.
Emyria’s current arrangements are adequate. In light of its continuous disclosure
obligations, Emyria prepared a draft ASX release ahead of the Coverage and had discussions
with its senior leadership concerning whether the Reach Wellness Collaboration was
material. Emyria formed the view that the Reach Wellness Collaboration under discussion
was not material in consideration of section 7.10 of Guidance Note 8, which cautions
against (among other things) disclosing non-binding heads of agreements with material
contractual terms that have yet to be agreed.
8.
The Company confirms that it has at all times complied with, and continues to comply with,
the ASX Listing Rules and in particular Listing Rule 3.1.
9.
This response has been authorised and approved by the Board.

and its disclosure to be a breach of confidence, if it is in fact disclosed by those who know it, then it ceases
to be confidential information for the purposes of this rule.”
